MEMBERSHIP TERMS AND CONDITIONS

 

In applying to be a member of ASM International (‘ASM’ or the ‘Society’), you (the ‘Member’) agree to the Membership Terms and Conditions contained herein. These Terms and Conditions are to be read in conjunction with and as an extension to the ASM International Prevention of Harassment and Discrimination Policy as approved by the ASM International Board in July of 2018.

 

ASM International

ASM International is a Society of professionals who have come together to accomplish great works for the common good which cannot be achieved independently. The maximum value ASM can bring to its members and society can be achieved by working at the intersection of Design, Structural Engineering, Manufacturing, Quality and Materials. The shared values of transparency, integrity, technical excellence, diversity, and constancy of purpose are the great enablers.

 

Mission: ASM International benefits the materials community by providing scientific,

engineering and technical knowledge, education, networking and professional development for

Individual Members. ASM also enables improved materials performance for organizations served

by our members.

 

Vision: To be the leading resource for the advancement of materials knowledge in industry,

education, government and society as a whole.

 

Amendments

ASM may amend these Membership Terms from time to time, without specific notice to each individual member, by uploading them to the ASM International website. Amendments to these Terms and Conditions apply to each current Member. Continued Membership after an amendment to these Terms and Conditions constitutes evidence of agreement to abide by such amendments. Should a Member reject an amendment, the Member may terminate their Membership by giving ASM written notice of termination.

 

Member Eligibility

ASM International Membership is open to individuals who by education or experience give evidence of competence or interest in a materials related field. These fields include but are not limited to Engineering, Metallurgy, Materials Research and Development, Manufacturing, Process Engineering, Materials Characterization and Testing, Physical Sciences, Biological and Medical Sciences, Mathematics, Education, Management, Law and Policy.

 

Membership in ASM International is a privilege that can be suspended and/or removed in the sole discretion of ASM International. Once Membership is granted, it is personal to the individual and is non-transferrable to another individual or corporation.

 

In order to best serve the needs of the material science community ASM offers the following membership types: High School Student, A University/College Student Joint Society Membership Program, Emerging Professional, Professional, Retired, Life. Each membership comes with a complimentary chapter membership (should there be a chapter in your area). We also offer membership into six Affiliate Societies.

 

Member Obligations and Code of Conduct

Members represent ASM International on a professional level and as such, certain principles must be adhered to in order to safeguard the interests of ASM members, volunteers, clients, colleagues, and the materials science and engineering community. Each Member must act honestly, fairly, and equitably in all matters connected with the Society. Without limiting this obligation, each Member:
 

  • ASM Members are expected to conduct themselves consistent with the highest ethical and professional standards, particularly at ASM Events, on ASM Committees, on ASM sites and in any context in which the member is representing ASM.
  • Will comply with any applicable policy, code, regulation, or similar rule in place for using a benefit associated with Membership.
  • Will not engage in any behavior with or towards another Member or individual associated with ASM (for example, a conference attendee) that could reasonably be interpreted as intended to bully, intimidate, disrupt, or harass any other person.
  • Will act, support, respect and abide by the applicable laws and generally accepted norms that apply to ethical and appropriate personal conduct.
  • Will not use any Member benefit for any inappropriate, illegal, or unlawful activity.
  • Will not engage to offer or accept bribes or facilitate payments, either directly or indirectly, not only in compliance with anti-bribery laws but also in maintenance of high professional and ethical standards.
  • Will not use a forum provided by ASM or on ASM Social Media to post or deliver content that could reasonably be interpreted to be defamatory, malicious, hate speech, threatening or pornographic, incite violence or that contains nudity or is violent or offensive in nature.
  • Will not undertake any action that could damage the reputation of ASM.
  • Will be honest, truthful, ethical and fair when acting on behalf of ASM and/or when using a benefit associated with Membership.
  • Will act on behalf of ASM and/or use a benefit associated with Membership without bias or prejudice based on race, religion, gender, age, ethnicity, national origin, sexual orientation, marital status, socioeconomic status, veteran status, genetic information, political affiliation, and/or disability.
  • Will not electronically record, copy, photograph or broadcast any ASM camps, events, courses, or materials, and will not electronically record, or broadcast conversations with ASM employees, Members, attendees, students, volunteers, associates, or otherwise, without the express written approval of ASM International or the relevant individual. Capturing memories of casual meeting activities, events, and networking for social use is permitted with the permission of those being prominently photographed.
  • Will, if applicable, conduct all business with ASM and its partners with professionalism and respect.

 

Term and Termination

Once you are a Member of ASM International, you are entitled to remain a member until you or ASM terminates your Membership in accordance with these Terms and Conditions. Should a member fail to abide by these Terms and Conditions, ASM may, at its sole discretion, decide on the appropriate action to take including, but not limited to: issue a warning, launch an investigation, suspend and/or terminate a Membership. If any such action occurs, ASM will notify the Member in writing and/or will post it to the Member’s account.

 

A Member may terminate Membership, before the Membership’s natural expiration date, of ASM International at any time by advising ASM in writing or via phone. In the case of a Member-termination, ASM will not issue a refund for any membership fees already paid. No notice is required if upon natural expiration, Member chooses not to renew Membership.

 

Online outages where web-based services and resources are not available may happen for any reason and do not constitute a termination of Membership under this clause.

 

Videos and Photos for ASM Use

Attendance at an ASM event and/or course implies the Member’s consent to be photographed, filmed and/or otherwise recorded by ASM for use on the ASM website, in marketing, and/or in news publications. Please note that no technical presentations or instructors will be recorded without the prior consent of ASM and/or the presenter.

Liability

To the extent permitted by law, ASM has no liability to Member whatsoever in contract, tort (including negligence), statute or otherwise for conduct of a Member, nor for the conduct of an organization interacting with ASM.

Additional

The Membership Terms and Conditions referred to herein form the entire agreement between the Member and ASM about the subject matter of the Membership and supersedes all other representations, negotiations, arrangements, understandings or agreements. These Terms and Conditions are governed by the laws of the state of Ohio without regard to conflict of laws principles. Any mediation and/or arbitration shall be determined in accordance with the applicable United States Arbitration and Mediation rules of Arbitration.

 

Any lawsuit relating to this Agreement or the relationship, either during the existence of the relationship or afterwards, between the parties hereto, their assignees, their affiliates, their attorneys or agents, shall be litigated solely in state or federal court in Ohio. Each party: (1) submits to the jurisdiction of such court, (2) waives the defense of an inconvenient forum, (3) agrees that valid consent to service may be made by mailing or delivery of such service to the party at the party’s last known address.

 

If any term, provision, covenant or condition of this Agreement, or the application thereof to any person, place, or circumstance, is rendered invalid or unenforceable by operation of law, judgment, Arbitration, or court order, the remainder of this Agreement shall remain valid and enforceable and shall remain in full force and effect.

 

ASM is a private non-profit corporation, exempt from US Federal Taxation under Section 501(c)(3) of the Internal Revenue Code, as amended. This Agreement shall not be construed as a partnership or joint venture between ASM and Member, and nothing contained herein shall be construed in a manner that would be inconsistent with ASM’s continued status as a tax-exempt non-profit corporation.
